Mahogany Voice AI Inc. ("Mahogany Voice," "we," "our," or "us") operates two distinct services with two distinct sets of terms. Only one section of this page applies to you, based on which service you use:

If you are a business customer of the AI Employee platform at mahoganyvoice.com → your agreement is Section A: Business Terms, below.

If you are an individual user of the AI Songwriter voice-to-prompt lyric generator at mahoganyvoice.ai → your agreement is Section B: Consumer Terms, below.

The two sections are independent agreements with different eligibility rules, different arbitration procedures, and different fee structures. Provisions in Section A do not apply to consumer users, and provisions in Section B do not apply to business customers. By creating an account or using either service, you agree to be bound by the section that applies to you.

SECTION A: BUSINESS TERMS

Applies to: mahoganyvoice.com — AI Employee (business customers only)

A1. Eligibility and Authority

You must be at least 18 years old to use the Services. Mahogany Voice's Services under this Section A are offered exclusively to business entities and the individuals authorized to act on their behalf, not to individual consumers acting in a personal capacity. By using the Services, you represent that: (a) you meet the age requirement above; (b) if you are accessing the Services on behalf of a company, organization, or other entity, you have the authority to bind that entity to these Terms, and "you" refers to that entity; and (c) you have the legal capacity to enter into these Terms.

A2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use. We are not liable for losses arising from unauthorized use of your account resulting from your failure to safeguard your credentials.

A3. License to Use the Services

Subject to your compliance with these Terms, Mahogany Voice grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not include the right to:

Reproduce, resell, or sublicense the underlying platform, software, or patented systems;

Reverse engineer, decompile, or attempt to extract source code or model architecture;

Use automated means (bots, scrapers) to access the Services beyond normal use;

Use the Services to build a competing product.

A4. Voice Data and Biometric Consent

By submitting a voice recording or using any voice cloning, voice input, or voice-based generation feature:

You represent that the voice submitted is your own, or that you have obtained documented consent from the individual whose voice you are submitting;

You consent to Mahogany Voice's collection and processing of that voice data as described in our Privacy Policy;

You may withdraw consent and request deletion of voice/voiceprint data at any time, subject to the retention terms in our Privacy Policy;

You agree not to submit any third party's voice for cloning without that person's explicit, documented consent. You are solely responsible for any voice submission that violates this provision, and you agree to indemnify Mahogany Voice for claims arising from an unauthorized voice submission (see Section A10).

A5. User Content and AI-Generated Output

A5.1 Your Content

You retain ownership of the prompts, voice input, and original material you submit to the Services ("User Content"). You grant Mahogany Voice a limited license to process User Content solely to provide and improve the Services, as described in our Privacy Policy.

A5.2 AI-Generated Output

Subject to your compliance with these Terms and payment of applicable fees, you own the output generated for you through the Services ("Generated Output"), to the extent ownership is legally capable of being assigned to you. You are responsible for:

Independently verifying that Generated Output does not infringe any third party's copyright, trademark, right of publicity, or other intellectual property right before commercial release or distribution;

Any registration, clearance (including ISRC/ISWC or similar identifiers), or licensing steps required to commercially exploit Generated Output — Mahogany Voice does not issue or guarantee such identifiers;

Ensuring Generated Output complies with the platform policies of any third-party distribution service you use.

Generated Output is provided "as-is," without warranty that it is free of similarity to existing works.

A5.3 Our Intellectual Property

The Services, including our underlying software, systems, and any patented or patent-pending technology (including U.S. Provisional Patent Application No. 63/908,719 and related filings), are the exclusive property of Mahogany Voice AI Inc. and its licensors. Nothing in these Terms transfers any right, title, or interest in our intellectual property to you, except the limited license in Section A3.

A6. Fees and Payment

Certain features of the Services require payment of fees, as described at the point of purchase. All fees are non-refundable except as required by law or as expressly stated at purchase. We may change pricing prospectively with notice.

A7. Prohibited Uses

You agree not to use the Services to:

Violate any applicable law or regulation;

Infringe the intellectual property, publicity, or privacy rights of any person;

Submit voice data of another person without their consent;

Generate content that is unlawful, defamatory, or that impersonates a real person without authorization;

Interfere with or disrupt the integrity or performance of the Services;

Attempt to gain unauthorized access to the Services or related systems.

We reserve the right to suspend or terminate accounts that violate this Section.

A8. Disclaimers

THE SERVICES AND ALL GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

A9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAHOGANY VOICE AI INC., ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MAHOGANY VOICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

A10. Indemnification

You agree to indemnify, defend, and hold harmless Mahogany Voice AI Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your User Content or any voice data you submit, including any unauthorized submission of a third party's voice; (c) your Generated Output, including any commercial exploitation without proper rights clearance; or (d) your violation of these Terms or applicable law.

A11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to Mahogany Voice, other users, or third parties. You may terminate your account at any time by contacting us. Sections that by their nature should survive termination (including A5, A8, A9, A10, and A13) will survive.

A12. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate. You and Mahogany Voice AI Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services — including disputes about the formation, scope, or enforceability of this arbitration agreement — shall be resolved exclusively through final and binding arbitration, rather than in court, except as set out below.

Administration and Rules. Arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as those rules exist at the time arbitration is initiated. The arbitration will be conducted by a single arbitrator and will take place in Palm Beach County, Florida.

Class Action Waiver. Any arbitration will be conducted on an individual basis only, and not as a class, collective, or representative action.

Carve-Out for Intellectual Property and Injunctive Relief. Either party may bring an action in a court of competent jurisdiction in Palm Beach County, Florida seeking injunctive or other equitable relief to protect intellectual property rights, including claims relating to the patent, trademark, or trade secret rights described in Section A5.3.

Small Claims Carve-Out. Either party may bring an individual claim in small claims court if the claim qualifies.

Costs. Each party will bear its own attorneys' fees, and arbitration filing and administrative fees will be allocated according to the applicable AAA rules.

Severability. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court, while the remainder of this arbitration agreement remains in effect for all other claims.

This clause is drafted as mandatory, individual, binding arbitration with no court-first requirement and no consumer opt-out, reflecting that Section A applies exclusively to business customers, not individual consumers.

A13. General Provisions

Entire Agreement. This Section A, together with our Privacy Policy and any order forms or subscription terms you accept, constitutes the entire agreement between you and Mahogany Voice AI Inc. regarding the Services.

Severability. If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect.

No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, financing, or sale of assets.

Force Majeure. Neither party is liable for delay or failure to perform resulting from causes beyond its reasonable control.

Electronic Communications. You consent to receive communications from us electronically, and agree such communications satisfy any legal requirement that they be in writing.

Notices. Notices to Mahogany Voice must be sent to the address in the Contact Us section at the bottom of this page. Notices to you may be sent to the email address associated with your account.

Relationship of the Parties. Nothing in Section A creates a partnership, joint venture, employment, or agency relationship.

Changes to Section A. We may update Section A from time to time. Material changes will be posted with a revised "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance.

SECTION B: CONSUMER TERMS

Applies to: mahoganyvoice.ai — AI Songwriter (individual consumer users only)

B1. Eligibility

You must be at least 18 years old to create an account or use the Service. The Service is not directed to, and is not intended for use by, individuals under 18.

B2. The Service

The Service allows you to submit voice input and text prompts to generate song lyrics and related creative output using Mahogany Voice's proprietary voice-to-prompt technology (including systems covered by pending U.S. patent applications). The Service is currently offered on a free ("freemium") basis. Mahogany Voice may introduce paid subscription tiers or usage-based pricing at any time, subject to Section B5 below.

B3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized use.

B4. Voice Data and Biometric Consent

By submitting a voice recording or using any voice-based feature of the Service:

You represent that the voice you submit is your own, or that you have obtained the explicit consent of the individual whose voice you are submitting;

You consent to Mahogany Voice's collection and processing of that voice data as described in our Privacy Policy;

You may withdraw consent and request deletion of your voice data and any derived voiceprint at any time by contacting us, subject to the retention terms in our Privacy Policy;

You agree not to submit another person's voice for cloning or voice-based generation without that person's explicit, documented consent. You agree to indemnify Mahogany Voice against any claim arising from an unauthorized voice submission (see Section B11).

B5. Free Tier, Subscriptions, and Auto-Renewal

B5.1 Free Tier

Use of the Service is currently free. Mahogany Voice may limit free-tier usage at its discretion and may change these limits with notice posted on the Service.

B5.2 Future Paid Subscriptions

If and when Mahogany Voice introduces paid subscription plans, Mahogany Voice will provide the specific disclosures required by law (including price, billing frequency, and cancellation method) clearly at the point of signup, consistent with applicable automatic-renewal laws (including California's Automatic Renewal Law and comparable state and federal requirements):

Automatic Renewal. Paid subscriptions will automatically renew at the end of each billing period at the then-current price, unless you cancel before the renewal date.

Clear Disclosure. Before you agree to a paid subscription, we will clearly disclose the recurring charge, the length of the subscription term, the cancellation deadline, and how to cancel.

Easy Cancellation. You will be able to cancel your subscription at any time through a self-service mechanism in your account settings, without being required to contact customer service by phone if you signed up online.

Renewal Reminders. Where required by law, we will send advance notice of renewal.

Price Changes. We will provide advance notice of any price increase before it takes effect, and you may cancel before the new price applies.

Refunds. Except where required by law or expressly stated at the time of purchase, subscription fees are non-refundable, including for partial billing periods.

B5.3 Free Trials

If we offer a free trial of a paid tier, the trial will convert to a paid subscription at the end of the trial period unless you cancel before it ends. We will disclose the trial length and conversion terms before you enroll.

B6. User Content and AI-Generated Output

B6.1 Your Content

You retain ownership of the prompts, voice input, and original material you submit to the Service ("User Content"). You grant Mahogany Voice a limited license to process User Content solely to provide and improve the Service, as described in our Privacy Policy.

B6.2 AI-Generated Output

Subject to your compliance with these Terms, you own the lyrics and creative output generated for you through the Service ("Generated Output"), to the extent ownership is legally capable of being assigned to you. You are responsible for:

Independently verifying that Generated Output does not infringe any third party's rights before you publish, distribute, or commercially release it;

Any registration, clearance (including ISRC/ISWC or similar identifiers), or licensing steps required to commercially exploit Generated Output;

Ensuring Generated Output complies with the policies of any platform you use to distribute or publish it.

Generated Output is provided "as-is." Mahogany Voice makes no representation that Generated Output is original, non-infringing, or fit for commercial release without your own review.

B6.3 Our Intellectual Property

The Service, including its underlying software and any patented or patent-pending technology (including U.S. Provisional Patent Application No. 63/908,719 and related filings), is the exclusive property of Mahogany Voice AI Inc. and its licensors.

B7. Prohibited Uses

You agree not to use the Service to:

Violate any applicable law or regulation;

Infringe the intellectual property, publicity, or privacy rights of any person;

Submit another person's voice without their consent;

Generate content that is unlawful, defamatory, or that impersonates a real person without authorization;

Use automated means to access the Service beyond normal individual use.

B8. Disclaimers

THE SERVICE AND ALL GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

B9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAHOGANY VOICE AI INC. AND ITS OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MAHOGANY VOICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you, and you may have additional rights that vary by jurisdiction.

B10. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate. You and Mahogany Voice agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved exclusively through final and binding individual arbitration, rather than in court, except as set out below.

The arbitration will be conducted by a single arbitrator. For claims under $10,000, arbitration may be conducted based on documents alone, by phone, or in person in Palm Beach County, Florida, at your election.

Your Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of the date you first agree to these Terms, including your name, account email, and a clear statement that you wish to opt out. If you opt out, any dispute will be resolved in the state or federal courts located in Palm Beach County, Florida.

Class Action Waiver. Any arbitration will be conducted on an individual basis only, not as a class, collective, or representative action.

Small Claims Carve-Out. Either party may bring an individual claim in small claims court if the claim qualifies.

B11. Indemnification

You agree to indemnify, defend, and hold harmless Mahogany Voice AI Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content or any voice data you submit, including any unauthorized submission of a third party's voice; (c) your Generated Output, including any commercial exploitation without proper rights clearance; or (d) your violation of these Terms or applicable law.

B12. Termination

We may suspend or terminate your access to the Service at any time for conduct that violates these Terms or is otherwise harmful to Mahogany Voice, other users, or third parties. You may cancel your account at any time. Sections that by their nature should survive termination (including B6, B8, B9, B10, and B11) will survive.

B13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except that this choice of law does not deprive you of any consumer protection you are entitled to under the mandatory law of your state or country of residence that cannot be waived by agreement.

B14. General Provisions

Entire Agreement. Section B, together with our Privacy Policy, constitutes the entire agreement between you and Mahogany Voice regarding the Service.

Severability. If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect.

No Waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, financing, or sale of assets.

Electronic Communications. You consent to receive communications from us electronically, and agree such communications satisfy any legal writing requirement.

Changes to Section B. We may update Section B from time to time. Material changes will be posted with a revised "Last Updated" date, and, for material changes affecting active paid subscribers, we will provide advance notice as described in Section B5.2. Continued use of the Service after changes take effect constitutes acceptance.
